IN NO EVENT SHALL LIVING GOLDENWELL, INC.'S LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE MONTH PRIOR TO THE EVENT THAT CAUSED THE CLAIM, OR A MAXIMUM OF $2,000, WHICHEVER IS GREATER.

SECTION 13 – DISPUTE RESOLUTION BY MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER

BY USING OUR SERVICES, YOU AND YOUR BUSINESS AGREE THAT ANY CLAIM OR DISPUTE ARISING OUT OF OR IN CONNECTION WITH THESE TERMS WILL BE RESOLVED THROUGH BINDING ARBITRATION, AND YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY. THIS INCLUDES CLAIMS ARISING FROM OUR PROGRAMS, SERVICES, CONTENT, OR ANY OTHER MATTER.

If the dispute cannot be resolved through informal communication or negotiation within 120 days, you agree that the matter will be submitted to confidential arbitration administered by the American Arbitration Association (AAA).

The arbitration will be conducted by a single neutral arbitrator in Seattle, Washington, and shall be governed by the AAA's rules. The arbitrator's decision will be binding, and you agree that any judgment from the arbitrator may be entered into any court of competent jurisdiction.

You and Living Goldenwell, Inc. agree that any claims will be resolved individually, and that class actions or group arbitration are not permitted.

This arbitration provision survives the termination of your relationship with Living Goldenwell, Inc., and any disputes must be brought within one year from the date of the event giving rise to the claim.

SECTION 14 – INDEMNIFICATION

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Living Goldenwell, Inc., its directors, officers, employees, shareholders, licensors, independent contractors, subcontractors, suppliers, affiliates, parent companies, subsidiaries, and agents from and against any and all claims, actions, losses, liabilities, damages, expenses, demands, and costs of any kind, including, but not limited to attorneys' fees and costs of any litigation or other dispute resolution, arising out of, resulting from, or in any way connected with or related to: (1) your use, misuse, or attempt to use the services, website, or products offered by Living Goldenwell, Inc.; (2) any information you submit or transmit through the services or website; (3) your breach of these Terms, the documents they incorporate by reference, or any representations and warranties provided by you in this Agreement; or (4) your violation of any law or the rights of a third party.

Upon termination, sections of this Agreement, including your representations, warranties, and obligations, will survive and remain in effect. You remain responsible for any outstanding payments to Living Goldenwell, Inc. following termination.

SECTION 18 – NO WAIVER

No failure or delay by Living Goldenwell, Inc. in exercising any right, power, or remedy under this Agreement shall operate as a waiver of that right, power, or remedy, nor shall any single or partial exercise of any right, power, or remedy preclude any further exercise of that right, power, or remedy, or the exercise of any other rights, powers, or remedies under this Agreement.

A waiver of any right or obligation under this Agreement shall only be effective if in writing and signed by Living Goldenwell, Inc.

SECTION 19 – GOVERNING LAW AND VENUE

This Agreement, and any issue or dispute arising out of or related to this Agreement, your access to or use of the services, our Privacy Statement, or any matter concerning Living Goldenwell, Inc., including your purchase and use or attempted use of any service or product, shall be governed exclusively by the laws of the State of Washington, without regard to its conflict of laws principles.

To the extent any claim or dispute is excluded from the arbitration agreement (if applicable), the parties agree that any such claim or dispute will be exclusively brought before and decided by the courts in Seattle, Washington, United States. You irrevocably consent to the personal jurisdiction of, and the exclusive venue in, such courts and waive any challenge to their exclusive jurisdiction or venue. All claims must be brought on an individual basis and not as part of a class action or representative proceeding.

Living Goldenwell, Inc. shall not be responsible for any delay, damage, or failure to perform due to any act of nature or other causes beyond our reasonable control, including but not limited to, acts of God, fires, floods, earthquakes, labor strikes, pandemics, governmental actions, or any other event that prevents or hinders our ability to perform as required under this Agreement.

SECTION 21 – ASSIGNMENT

Living Goldenwell, Inc. may assign its rights under this Agreement at any time, without prior notice to you. However, your rights under this Agreement cannot be assigned or transferred without the express written consent of Living Goldenwell, Inc. or its assigns.

SECTION 22 – ELECTRONIC SIGNATURE

All communications made through our services are considered electronic communications. By interacting with Living Goldenwell, Inc. through our services or via other electronic media such as email, you acknowledge and agree that you are communicating with us electronically. You consent to receiving electronic communications from us, and you understand that all notices, disclosures, agreements, and other communications that we provide to you electronically are considered equivalent to written communications and shall have the same force and effect as if they were signed by the sending party.

SECTION 23 – CHANGES TO THE AGREEMENT

SECTION 24 – YOUR ADDITIONAL REPRESENTATIONS AND WARRANTIES

Additionally, you represent and warrant that there are no ongoing or pending government investigations or inquiries of, or prosecutions against you, or any business related to you, by the Federal Trade Commission, any other federal or state governmental agency, or any industry regulatory authority worldwide. You further represent that there are no ongoing or pending private lawsuits against you.

If, at any time during the term of this Agreement, you or any business related to you becomes the subject of a government investigation, inquiry, or prosecution by the Federal Trade Commission, any other federal or state agency, or any industry regulatory authority worldwide, or becomes the subject of any lawsuit, you agree to notify Living Goldenwell, Inc. within 24 hours. At its sole discretion, Living Goldenwell, Inc. may terminate this Agreement based on any investigation, proceeding, or lawsuit identified under this paragraph, without incurring any obligation or liability to you.

SECTION 25 – SEVERABILITY

If any provision of this Agreement is deemed invalid or unenforceable by an arbitrator or a court of competent jurisdiction, the remaining provisions of this Agreement will remain in full force and effect. The invalid or unenforceable provision may be modified or severed to the extent necessary to make it enforceable and consistent with the remainder of the Agreement.

SECTION 26 – ENTIRE AGREEMENT

These Terms, the Agreement, and any additional policies or operating rules posted by Living Goldenwell, Inc. on the Program or related to the Program constitute the complete and exclusive understanding between you and Living Goldenwell, Inc. concerning your access to and use of the Program, and the ordering, purchasing, and use of any services or products. This Agreement supersedes any prior agreements, communications, representations, or proposals, whether oral or written, between you and Living Goldenwell, Inc. We may, in the future, introduce new services and/or features through the Program, and these will also be governed by this Agreement, the Terms, and any policies or operating rules posted. Any ambiguities in the interpretation of these Terms will not be construed against the drafting party.
